These Terms of Service ("Terms") govern your access to and use of Consignloop, the consignment and resale management software operated by Dominic Rivard Inc. ("Consignloop", "we", "us"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.
1. The service
Consignloop is software that helps consignment and resale shops manage inventory, consignors, sales, commission splits, and payouts, and optionally gives consignors a read-only login to their own account. The service is offered in two modes: a free on-device mode ("This Device Only"), and a paid cloud mode that syncs your data across devices and enables consignor logins.
2. Accounts & eligibility
You must be at least 18 years old and able to form a binding contract to use the service. You are responsible for the accuracy of your account information, for keeping your password secure, and for all activity under your account. You are responsible for the users you invite (including your staff and consignors) and their use of the service.
3. Free trial
New stores receive a 21-day free trial of cloud mode. At the end of the trial you must start a paid subscription to continue using cloud features. On-device ("This Device Only") mode remains free. We may change the length of, or discontinue, the trial for new sign-ups at any time.
4. Subscriptions, billing & renewal
Plans and prices
Cloud mode is offered on paid plans (currently starting at $29, $59, and $99 per month in U.S. dollars). Prices are shown in USD by default; where supported, your plan may be displayed and charged in your local currency, and the amount shown will reflect that currency. Current pricing is available on our website and may change as described below.
Recurring payments
Subscriptions renew automatically for successive billing periods (e.g., monthly) until canceled. Payments are processed by our payment provider, Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis. We do not store your full card details.
Taxes
Prices are exclusive of taxes unless stated otherwise. You are responsible for any sales, use, VAT, GST, or similar taxes, which may be added at checkout.
Failed payments & grace period
If a payment fails, we will attempt to collect it again. Your access continues during a 3-day grace period; if payment is still not received after the grace period, cloud access may be suspended until payment succeeds. Your data is not deleted when a subscription lapses — it is preserved and access is restored when you resume payment.
Cancellation & refunds
You may cancel at any time from the billing portal. Cancellation stops future renewals; you retain access until the end of the current paid period. Except where required by law, payments are non-refundable and we do not provide partial refunds for unused time.
Price changes
We may change prices. We will give reasonable advance notice (for example, by email or in the app) before a change affects your renewals. Continuing to use the paid service after a change takes effect means you accept the new price.
5. Your data & content
You own the business data you enter into Consignloop, including your consignor records, inventory, sales, and payouts ("Your Data"). You grant us a limited license to host, store, process, and transmit Your Data solely to provide and improve the service for you. You are responsible for the accuracy of Your Data and for having the right to store any personal information it contains (see the Privacy Policy). You can export Your Data from the app at any time.
6. Consignor logins
Cloud mode lets you create read-only logins for your consignors. You are responsible for provisioning, managing, and revoking those logins and for the information you share with your consignors. With respect to your consignors' personal information, you act as the controller of that data and Consignloop acts as your processor, handling it on your behalf.
7. Acceptable use
You agree not to: use the service for anything unlawful; upload malware or attempt to breach or disrupt the service or its security; access data that is not yours; resell or misrepresent the service; or use the service to infringe others' rights. We may suspend accounts that violate these Terms.
8. Third-party services
The service relies on third-party providers, including Stripe (payments), Cloudflare (hosting and database), and others described in our Privacy Policy. Your use of those features may also be subject to the third party's terms. We are not responsible for third-party services we do not control.
9. Availability & changes
We aim to keep the service available and reliable but do not guarantee uninterrupted or error-free operation. We may add, change, or remove features, and may perform maintenance that temporarily affects availability.
10. Termination
You may stop using the service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms or fail to pay. Before permanent deletion of an account you have closed, you will have a reasonable opportunity to export Your Data. As noted above, we do not delete Your Data merely because a subscription has lapsed.
11. Disclaimers & limitation of liability
The service is provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent permitted by law. Consignloop is a record-keeping tool and does not provide financial, tax, or legal advice. To the maximum extent permitted by law, our total liability arising out of or relating to the service will not exceed the amount you paid us in the 12 months before the claim, and we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data.
12. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in the app). Continuing to use the service after changes take effect means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Nova Scotia, Canada will have exclusive jurisdiction, except where prohibited by applicable law.
